Where should I start with a Labuan company?
Start with your business activity, customer locations, ownership, directors and operating presence. Labuan FSA describes appointing a licensed Labuan trust company and completing due diligence. Consider administration, accounting and any required licences alongside incorporation.
How do I choose between a Labuan and Malaysia company?
The appropriate structure depends on business activity, markets, licences, operating presence and hiring plans. Compare the practical operation and tax treatment in all relevant jurisdictions rather than choosing on a headline tax rate.
Can I review setup and annual costs before proceeding?
Yes. Define the scope for formation, administration, offices, accounting coordination and applications. Before engagement, confirm what a quotation includes, including external professional and official fees.
Are bank accounts or visas guaranteed?
No. Banks make account-opening decisions, and the relevant authorities determine visa and work-permit applications. Support involves reviewing the business, documentation and current requirements, and assisting with preparation.
Can I begin while living in Japan?
Use the inquiry form to share a brief outline and your objectives. The consultation format, documents and any in-person steps can be clarified after reviewing your situation.
Does Bona Private Office provide every professional service directly?
Bona Private Office coordinates matters across family, business and wealth. Legal, tax, wealth and lifestyle work may involve external specialists; responsibilities and engagement terms are confirmed for each matter.
Can I discuss family relocation, housing and schools together?
Yes. Organise your priorities across business, residency, wealth, family and lifestyle. Final choices and contracts for schools, healthcare, insurance and other services are reviewed with the relevant providers.
What should I include in my first inquiry?
Briefly describe the service you need, your business, preferred timing and country of residence. Do not include passport numbers, bank account details or asset statements in the initial form.
How should I compare a trust and a foundation?
Compare asset types and locations, governance, beneficiaries, succession objectives and laws and tax treatment in relevant jurisdictions. A trust involves administration by a trustee; a foundation is a separate legal entity. Individual legal and tax effects require professional review.
Are financial licensing and company incorporation the same process?
They are separate processes. The activity determines the licence category and sequence of approvals, so review the business model before planning applications. Licensing and continued authorisation are not automatic.
About Labuan
3+
Where is Labuan?
Labuan is a Malaysian federal territory off Sabah on the island of Borneo. It operates within Malaysia’s legal system.
What kind of place is Labuan?
Labuan combines port and logistics activities with international financial services. Its duty-free port status does not exempt every product, transaction or income; customs and tax treatment depend on the goods and activity.
How can I travel to Labuan?
Air travel is an option, with itineraries through Kuala Lumpur or Kota Kinabalu worth checking. Routes and journey times change; confirm current schedules before fixing an appointment.
Labuan IBFC
5+
What is Labuan’s international financial centre?
Labuan IBFC is Malaysia’s centre for international business, financial services and wealth management. Incorporation alone does not confer a financial services licence or tax concessions; the relevant activity conditions must be met.
What does IBC mean?
IBC generally means International Business Company; it is not a single statutory category covering every Labuan entity. Assess the legal vehicle, such as a company, foundation or trust, separately from licensing and tax classifications.
What is Labuan FSA?
Labuan FSA is the regulator responsible for supervision, registration and licensing within its statutory remit. It is distinct from private trust companies and incorporation agents; regulatory approval rests with the authority.
What is Labuan IBFC?
IBFC stands for International Business and Financial Centre. Distinguish the Labuan IBFC information and market development channel from Labuan FSA, which performs regulatory and registration functions.
How should I compare Labuan with Hong Kong or Singapore?
Compare customer locations, licences, banking access, local staffing and expenditure, and accounting costs alongside tax. Labuan treatment depends on activities and substance; an investment company or foundation is not automatically tax-free or exempt from audit.
Trust companies and secretaries
6+
What is a Labuan trust company?
A Labuan trust company provides trust and corporate services within Labuan FSA’s regulatory framework. Company incorporation is submitted through a licensed trust company, with ongoing registered-office and secretarial services agreed in its engagement.
How can I find licensed Labuan trust companies?
Use Labuan FSA’s financial institutions directory to check current licensing details. Numbers change, so verify the provider’s legal name, licence category and service scope rather than relying on an old count.
What does a company secretary do?
The company secretary supports statutory records, resolutions and registry filings. A Labuan company must have a secretary meeting the statutory requirements; bookkeeping, audit, tax returns and management decisions are separate unless expressly included.
Can I change the company secretary?
A change can be arranged through successor onboarding, appointment, resolutions, filings and record transfer. Notice periods, outstanding fees and refunds depend on the engagement; avoid ending the existing service before continuity is secured.
Can a secretary resign?
Resignation may follow contractual breaches, non-payment or failure to cooperate with due diligence, subject to law and the engagement. It does not remove the company’s filing, recordkeeping or tax duties; resolve the issue and arrange a successor promptly.
What is a trust officer?
A trust officer is a professional performing trust-company functions subject to regulatory qualification and suitability requirements. Powers and duties depend on the appointment, for example trustee, secretary or resident director, and the governing law and engagement.
Company incorporation
6+
What are the company incorporation steps and timing?
The process covers activity review, customer and beneficial-owner due diligence, name clearance, constitutional documents and signatures, then submission through a trust company. Timing depends on completeness and approvals; plan incorporation, bank onboarding and permission to operate as separate milestones.
What documents are needed for incorporation?
Prepare identity and address evidence, the business description, source of funds, and proposed shareholders, directors and beneficial owners for initial review. Corporate participants also need incorporation, constitution, management, ownership and authorisation records; certification and extra evidence are determined after review.
How much does company incorporation cost?
Request an itemised quote for government registration, incorporation services, first-year secretary and registered office, and certification or translation. Bank applications, licences, substance-related premises and staffing, accounting, audit and tax returns may be additional.
What should I consider when choosing a company name?
Check availability, misleading wording, regulated-business terms and suggestions of government affiliation. Preliminary screening is distinct from registry approval, and trademark rights require a separate check.
What will the company’s registered address be?
A Labuan company needs a compliant registered office, normally arranged under its trust-company engagement. Confirm the precise address in the appointment documents; a registered address alone does not establish an operating office or satisfy economic substance.
Can I cancel incorporation and receive a refund?
On cancellation, establish whether filing, name reservation or certification has already occurred. Refunds depend on the engagement, work completed and disbursements; after incorporation, closure requires a corporate procedure rather than withdrawal of an application.
Company annual renewal
5+
What does annual company renewal involve?
Track government annual fees, service renewals, the annual return and tax returns separately. Do not treat the incorporation anniversary as the only deadline; maintain a calendar based on the company’s circumstances and current official requirements.
What documents are needed for company renewal?
Alongside paying agreed fees, confirm changes to directors, shareholders, beneficial owners, addresses, activities and funding. Supply accounting, tax and licensing records as required; payment alone does not complete all compliance obligations.
What does annual company maintenance cost?
Separate government annual fees from services such as secretary, registered office and resident director. Evaluate the total annual budget including accounts, audit, returns, premises, staffing and licence maintenance.
Can I transfer secretarial services at renewal?
A transfer requires successor due diligence, appointment documents, relevant filings and statutory-record handover. Check the current engagement for notice requirements and start well before renewal.
What happens if company annual fees are paid late?
Late government fees and late tax or registry filings can trigger different charges or consequences. Check the current fee rules, arrears period, registry status and corrective steps.
Dormant companies
7+
What does dormant status mean?
Dormancy is assessed against tax-authority criteria such as never commencing or ceasing operations, rather than simply issuing no invoices. Holding shares, property, fixed deposits or similar investments can prevent dormant classification even without sales.
How do I declare a company dormant?
Review the relevant year’s activities, transactions and holdings, then report the correct status in the applicable return. An internal decision to stop trading does not suspend tax filing or corporate maintenance duties.
What obligations remain after dormancy?
Review tax returns, statutory records, annual fees and required appointments even while dormant. Tax payable and audit obligations must be assessed under the applicable facts and rules; dormancy does not automatically mean no tax or no audit.
Are secretarial fees still payable while dormant?
Contractual fees normally continue while the company exists and retains secretarial services. Compare any reduced-activity service arrangement with the cost and consequences of formally closing the company.
Can a dormant company change secretary?
A dormant company can arrange a change, subject to successor acceptance, appointment and record transfer. Include dormant-status evidence, outstanding filings and fees in the handover; historic obligations remain.
Does a dormant company need accounting records?
Maintain statutory accounting records, including annual fees, bank balances and secretarial charges. Retain bank statements and financial information supporting the absence of trading and the reported dormant status.
Does a dormant company need an audit?
Dormant status alone does not establish an audit exemption. Check company law, tax treatment, activity and applicable exemptions or licence conditions; maintain financial information even where no audit is required.
Company closure
2+
How should a Labuan company be closed?
Review assets, debts, staff, bank accounts, contracts and tax filings, then select the appropriate dissolution or winding-up route. Waiting for strike-off through non-payment does not erase liabilities and is distinct from an orderly winding-up.
How much does company closure cost and how long does it take?
Cost and duration depend on asset realisation, debts, liquidator requirements, final accounts, tax and registry work. Obtain a case-specific quote identifying completion conditions and continuing service costs.
Company operations
37+
What activities may suit a Labuan company?
International trade, services and investment holding may be considered, subject to the business model. Review customer locations, where work is performed, licensing, bank acceptance and substance costs before selecting the vehicle.
What capital is required?
Capital needs differ between an ordinary company and licensed financial businesses; one US dollar is not a universal answer. The 2025 Companies Amendment permits shares to be expressed in any currency.
Can paid-in capital be used after deposit?
Paid-in funds may be used for legitimate company purposes, but they are not the shareholder’s personal deposit. Record the purpose, approval and evidence, and check dividend, loan, capital-reduction and regulatory-capital restrictions.
Can I choose or change the financial year-end?
Set the accounting period in line with business needs and applicable reporting rules. A change should be coordinated through board approval, the auditor and tax agent, with any notifications and effects on filing periods addressed.
Does the company need financial statements?
Maintain accounting records explaining transactions and financial position, and prepare the financial reporting required for the company. Keep invoices, contracts, expense evidence and asset and liability schedules alongside bank statements.
What is an annual return?
The annual return is a statutory registry filing about matters such as officers, shareholders and capital, distinct from a tax return. Verify its contents and distinguish the official deadline from the provider’s earlier document-submission date.
Can a Labuan company transact with Malaysian companies?
Assess the activity, licence, contracts and Malaysian domestic rules before proceeding. Deductions for the Malaysian payer can be restricted depending on payment type and conditions, which should be checked for each payment.
Can the company trade shares, bonds or foreign exchange?
Distinguish investing the company’s own funds from managing, advising on or intermediating client assets. Review products, trading pattern, licensing, broker and bank acceptance and tax classification before applying for accounts.
Can the company transact in cryptoassets?
Requirements differ for own-account holdings, exchange, brokerage, custody and management. Check platform and bank policies, funding and transfer routes, accounting and tax; incorporation does not guarantee trading or fiat conversion access.
Is a management office required?
A registered office and an operating office serve different purposes. Determine the premises, staff, expenditure and management functions required in Labuan from the activity’s substance, licensing and work-permit conditions.
How do I establish an operating office?
Choose premises suited to the activities and staffing, then arrange equipment, employment, payroll, statutory contributions and operating records. Renting an address or employing someone nominally does not by itself establish compliant substance.
Is a marketing office compulsory?
It is an activity-dependent option, not a universal requirement for every company. For operations outside Labuan, check the applicable marketing-office or co-location regime, approvals and permitted activities.
How do I apply for a marketing office?
Prepare the purpose, activities, location, organisation, staffing, business plan and substance evidence under current Labuan FSA guidance. Approval is not unrestricted permission to conduct business; review permitted scope, signage, reporting, change notifications and current fees.
Do I need a telephone number and email address?
Provide a responsible contact and reliable telephone and email details. Monitor enquiries from the trust company, banks and authorities, and update contact records when responsibility changes.
Are there residency restrictions for shareholders and directors?
Non-residents may participate, subject to role-specific eligibility and due diligence. A resident-director requirement applies; becoming a shareholder or director does not itself grant permission to work in Malaysia.
How many directors are needed?
A company needs one or more directors, including at least one meeting the statutory resident-director requirement. Verify the candidate’s eligibility, residence criteria and consent under current requirements.
How many shareholders are needed?
An ordinary Labuan company may be considered with one shareholder. Review individual or corporate ownership, share rights, beneficial owners and any additional conditions for a licensed activity.
Can the same person be shareholder and director?
The roles can be combined, subject to director eligibility, duties and the resident-director requirement. Transactions involving conflicts between personal shareholder interests and company duties need appropriate disclosure and approval.
What eligibility and checks apply to directors, shareholders and beneficial owners?
Checks cover identity, ownership, source of funds, business purpose and risks including sanctions, criminal history and insolvency. Director eligibility and identification of shareholders and natural-person beneficial owners are separate assessments; submitting documents does not guarantee acceptance.
What documents are required for a corporate participant?
Initial materials normally include incorporation, constitution, director and shareholder records, registered address, authorising resolution and signatory evidence. Explain the ownership chain to the ultimate natural persons, with certification, translation or additional evidence as required.
How many directors or shareholders can be added?
Review the constitution, share structure, applicable law and licence conditions before adding participants. Not every addition requires blanket FSA pre-approval; distinguish resolutions and filings from approvals required for regulated businesses.
How are directors appointed or removed?
Prepare the resolutions and consents required by the constitution, complete onboarding and make relevant filings. Preserve the minimum and resident-director requirements, and update bank mandates and beneficial-ownership information where affected.
What happens if a director or shareholder dies?
The company does not automatically cease to exist. Address death evidence, replacement directors, signing authority and share transmission separately; a deceased shareholder’s estate requires valid succession and representative-authority documents.
What is a nominee arrangement?
A nominee arrangement places a person in a named role; it does not conceal beneficial ownership from required checks or disclosures. Distinguish nominee shareholding from directorship, and satisfy due diligence, beneficial-owner reporting, directors’ duties and bank disclosure requirements.
What does UBO mean?
A UBO is the natural person ultimately owning or controlling a company and may differ from its registered shareholder. Beneficial-owner records and notifications under the 2025 amendments require attention to indirect ownership and control beyond share votes.
Can an MM2H holder own a Labuan company?
An MM2H holder can consider investment subject to normal company eligibility and onboarding. Ownership, directorship and performing work are separate questions; check the specific MM2H conditions and any work authorisation required.
How can shareholding percentages be changed?
Changes may be made by issuing shares or transferring existing shares. Review the constitution, existing shareholder rights, valuation and consideration, resolutions and ownership records; a licensed company must also check prior-approval requirements.
Can a Labuan company be acquired or sold?
Structure the deal as a share or business transfer and undertake due diligence and documentation accordingly. Check hidden liabilities, taxes, filings and bank conditions; obtain applicable regulatory approvals for control or management changes before completion.
Can a Labuan company be listed?
Eligibility depends on the exchange, security and listing and disclosure standards. Labuan incorporation alone does not qualify a company for listing; audited financials, governance and investor disclosures require assessment.
Can share certificates be held in custody?
For custody, agree which originals are held, their location, receipt records and access or return procedures. Confirm current fees, and distinguish physical certificate custody from verification of the register and ownership.
What should I do if a share certificate is lost?
Notify the secretary promptly and establish the register position, loss evidence and any declaration, indemnity or approval needed for replacement. Confirm the actual process and current fee.
How can I obtain company documents for a contract?
Identify the incorporation, constitution, current officers, ownership and signing-authority evidence the counterparty needs. Use current records rather than relying solely on old form numbers, and confirm certification, translation, legalisation and document-age requirements.
How can a Labuan company become a foreign company’s subsidiary?
Consider subscription on incorporation or acquisition of shares later. Establish parent-company authority, resolutions, ownership and beneficial-owner evidence, share documentation and bank updates, and check regulatory change-of-control approval where relevant.
How can a Labuan company establish a foreign subsidiary?
Check investment powers and board authorisation, then follow the subsidiary jurisdiction’s rules. Plan local capital, officers, licences, banking, tax, group reporting and beneficial-owner disclosures together.
Can a company redomicile into or out of Labuan?
Continuation into or out of Labuan may be possible where both jurisdictions allow it and the company qualifies. Review creditor and shareholder protection, licences, tax, contracts and banking; this is more than an address change.
Can a Labuan company open a PayPal business account?
PayPal determines acceptance based on account country, business activity and verification. Prepare matching legal-name and address evidence and ownership and signatory information; confirm current handling of Labuan documents directly with PayPal support.
Are unused or prepaid secretarial fees refundable?
Refunds during an annual engagement depend on its terms. Request a reconciliation of unused services, completed work, third-party disbursements, arrears and transfer charges rather than assuming a fixed refund or deduction.
Foundations: overview
8+
What initial property does a foundation need?
A foundation differs from a share-capital company and defines its purposes and endowed property in its charter. A small initial endowment is not a complete operating plan; consider asset transfers, ongoing costs and bank requirements.
What is a foundation’s legal status?
A Labuan foundation is a separate legal person owning and administering property in its own name. Bank onboarding and asset acquisition remain subject to the relevant institution and jurisdiction; registration does not confer unrestricted access to every asset.
How private is a foundation?
Statutory confidentiality does not mean guaranteed anonymity or no external disclosure. Plan for registry searches, beneficial-owner records and notifications, customer due diligence and lawful disclosures to authorities.
How long can a foundation exist?
The charter can provide for a defined term or continuing existence. An indefinite plan still requires attention to the purposes, legal termination grounds and ongoing maintenance obligations.
What happens to assets endowed to a foundation?
Assets validly transferred become the foundation’s property rather than the founder’s personal property. This may assist continuity, but does not automatically remove succession procedures, taxes or mandatory inheritance claims in every jurisdiction.
Can a founder retain management influence?
Roles and reserved powers can be designed under the charter, articles and law. Involvement does not permit treating foundation assets as personal property; assess how retained powers affect tax, control and succession.
Are foundation assets protected against creditor claims?
Foundation property is distinct from the founder’s estate, but protection from all creditor claims is not guaranteed. Existing debts, fraudulent transfers, insolvency, asset-location law and court decisions must be considered; do not use the structure to evade claims.
How are foundations and distributions taxed?
Assess foundation income separately from distributions. Review activity, income character, substance and any applicable exemption, as well as the founder’s and beneficiaries’ home-country taxation; foundation status is not a blanket tax exemption.
Foundation establishment
6+
How is a foundation established and how long does it take?
Define the purposes, property, beneficiaries, powers and succession, complete due diligence, execute the constituent documents and apply through the secretary. Asset transfers and banking are separate steps; regulatory review and foreign-asset formalities affect timing.
What documents are needed to establish a foundation?
For initial review, describe the purpose, proposed assets and distributions and provide identity, address and funding information for relevant participants. Corporate participants need organisational, ownership and authority records; finalise the charter, articles and certified evidence through review.
How much does foundation establishment cost?
Request separate amounts for registration, drafting, due diligence, secretary and registered office. Complex distribution provisions, foreign-asset transfers, translation, certification, banking and tax support may require additional work.
What are the rules for a foundation’s name?
Statutory naming elements apply alongside screening for duplication, misleading or undesirable names. Check candidates through the secretary, distinguishing preliminary availability, regulatory approval and trademark rights.
Where is a foundation’s registered office?
Arrange a compliant registered office in Labuan and confirm address, mail and record arrangements in the secretary’s engagement. Address provision alone does not determine investment operations or the place of management for foreign tax purposes.
Can establishment be cancelled and fees refunded?
Before registration, check what drafting, filing and disbursements have occurred. Settlement follows the engagement; after registration, dissolution and asset administration may be required rather than a simple cancellation refund.
Foundation renewal
5+
What does annual foundation maintenance involve?
Review government annual fees and service renewals alongside officers, beneficiaries, beneficial owners, assets, distributions and required returns. Periodically confirm that administration follows the foundation’s constituent documents.
What documents are needed for foundation renewal?
Provide participant and address updates, asset balances, transaction and distribution records, and required accounting and tax information. Paying the invoice alone does not complete every filing and compliance review.
What are the ongoing costs of a foundation?
Separate annual government fees, secretary and office, required governance and administration, and accounting and tax costs. Asset types, distribution volume, beneficiary changes and charitable or fundraising activities affect the total.
Can a foundation change its secretary?
Confirm successor eligibility and acceptance, then arrange appointment, filings and handover of statutory and asset information under the charter and law. Check notice and settlement terms and plan continuity of the role.
What happens if foundation annual fees are late?
Late fees, registry action and separate filing breaches may arise. Check the latest fee rules, including 2026 changes, the arrears period and registry status to arrange corrective action.
Foundation closure
2+
How is a foundation dissolved?
Follow the charter and law on termination and resolutions, settle liabilities, costs and taxes, then deal with remaining property. Non-payment and eventual strike-off are distinct from orderly dissolution and do not automatically extinguish debts.
What does foundation dissolution cost and how long does it take?
Timing and costs depend on asset type and location, liabilities, beneficiary transfers, final accounts and returns, and regulatory steps. Obtain an individual quote including administration until completion and any specialist fees.
Foundation roles
6+
What is a founder?
The founder establishes the foundation and endows property under its charter. Any continuing powers or beneficiary status must be provided for in the constituent documents; endowment does not automatically preserve ownership of the assets.
What rights do foundation beneficiaries have?
Beneficiaries are designated to benefit under the foundation’s purposes and documents. They do not necessarily own an immediate vested share of its property; specify and review distribution conditions, information rights and enforceable entitlements.
What does a foundation officer do?
An officer administers the foundation under its law, charter and articles. Clearly allocate who approves and executes asset management, records, distributions and communications with participants.
What does a foundation council do?
Where appointed, the council supervises administration and fulfilment of the foundation’s purposes. Define membership, appointment and removal, voting and reserved approvals, with clear boundaries between council, officers and secretary.
What does a foundation secretary do?
A qualifying Labuan trust company acts as secretary and supports registration, filings and statutory records. This appointment is distinct from investment decisions or distribution approval; confirm the scope of any additional services.
What is a supervisory person or protector?
These arrangements supervise governance, with powers, appointment and removal defined by law and the documents. Charitable foundations soliciting public donations have additional requirements, so the role is not merely an optional family title.
Foundation practicalities
9+
Can residents and non-residents participate in a foundation?
Residents and non-residents may be considered, but founder, officer, council and beneficiary roles carry different conditions and rights. Check legal capacity, eligibility and due diligence as well as restrictions in residence and asset jurisdictions.
What eligibility checks apply to foundation participants?
Review identity or corporate existence, role-specific capacity, ownership and control, source of funds and sanctions risks. Apply the appropriate criteria for beneficiaries and governance roles rather than treating every participant as a company director.
What happens when a founder dies?
Continuation or termination follows the constituent documents; the founder’s powers do not automatically pass to the council. Check death evidence and provisions for successors, reserved powers and beneficiaries, then update records and required filings.
Can a foundation founder or council member obtain a work permit?
Holding a title does not itself establish work-permit eligibility. Review genuine duties, entity and position eligibility, and current capital, premises and employment conditions; applications remain subject to the relevant regulatory and immigration decisions.
Can an MM2H holder establish a foundation?
MM2H status and foundation participation are separate matters, subject to ordinary onboarding and asset-transfer checks. If you will perform management work, review the particular MM2H conditions and any work-authorisation requirement.
How do private purposes and public fundraising differ?
Private succession planning and soliciting donations from the public have different purposes and governance, review and recordkeeping needs. Do not rely on the public/private label alone; assess charitable status and requirements applicable to public fundraising.
What is a charitable foundation?
A charitable foundation pursues statutory charitable purposes such as poverty relief, health, education, community support, culture, sport, human rights, environment or animal welfare. Check the precise purpose, fundraising, governance and use of funds; the label alone does not establish tax exemption or fundraising permission.
Can Malaysian assets be endowed to a foundation?
Property situated in Malaysia generally requires prior FSA approval, with a statutory exception for foundations for charitable purposes. Local land approvals, tax and registration may also apply, so review each asset before transfer.
Can a foundation trigger foreign CFC or other tax rules?
Home-country reporting or taxation may arise from founder powers, beneficial interests, control, income and distributions. Obtain advice before establishment using the charter and asset schedule, covering CFC, gifts, succession, income and foreign-asset reporting rather than CFC alone.
Trusts: overview
8+
What is a trust?
A trust is a legal relationship in which a trustee holds property under the trust instrument and law for beneficiaries or a purpose. Unlike a company or foundation, it is not itself an ordinary corporate person; valid documentation and asset transfer are essential.
What can a trust help achieve?
A trust can organise continuity of administration, distributions, support for minors and succession. Separation of legal ownership and benefit does not guarantee tax savings, elimination of probate or complete protection from creditors.
What types of Labuan trust are available?
Options include purpose, charitable, protective or spendthrift trusts and Labuan special trusts. Select according to purpose, assets and governance, then define discretionary or fixed distribution terms in the instrument.
Who owns trust property?
The trustee holds legal title and administers the property separately from its own estate. Beneficiary rights depend on the trust and instrument; not every beneficiary has a fixed share or an immediate right to payment.
How long can a Labuan trust last?
The instrument can define duration and termination, including an indefinite arrangement where permitted. Changing duration requires the instrument’s amendment powers, beneficiary rights and any necessary consents or procedures to be checked.
How private is a trust and is registration required?
Ordinary Labuan trusts have a voluntary registration framework, distinct from due diligence and beneficial-owner records and notifications. Lawful disclosure and registry checks may apply; non-registration is not a guarantee of secrecy.
Should I choose a trust or a foundation?
Compare legal personality, asset title, control, distribution flexibility and home-country tax and legal recognition rather than popularity. A foundation owns its property as a legal person; a trust is administered through its trustee.
How are a trust and its distributions taxed?
Assess trust income separately from distributions, considering activity, income source, applicable law and exemption conditions. Beneficiaries and other participants may also face income, gift, succession or reporting rules at home, so Labuan treatment alone is insufficient.
Trust establishment
6+
What are the steps and timing for a trust?
Define the purpose, assets, participants and distributions, then complete due diligence, drafting, execution, trustee acceptance and asset vesting. Registration, if used, is a separate step; an unregistered arrangement still needs transfers and banking checks, so timing is case-specific.
What documents are required to establish a trust?
Initially prepare the purpose, asset schedule, distribution plan, participant identity evidence and source of funds. Corporate ownership and authority records, the trust instrument, transfer evidence and certification requirements are finalised through review.
How much does establishing a trust cost?
Separate drafting and legal review, trustee onboarding, any registration and asset-transfer work in the quote. Asset type and location, beneficiary numbers and reserved powers affect complexity; also confirm ongoing administration costs.
What should I consider when naming a trust?
Avoid misleading or undesirable wording and check registry naming and availability rules if registering. A name alone does not establish a valid trust; the instrument, trustee and property records must identify the arrangement properly.
What address is used for a trust?
Arrange the office, records and contact details through the trustee under the applicable rules. Confirm the address in the engagement; it is distinct from participants’ residential addresses and does not by itself determine tax residence.
Can trust establishment be cancelled and fees refunded?
The response depends on whether execution, trustee acceptance and asset transfer have occurred. An established trust may require termination and re-transfer under its terms and law; fee settlement follows the engagement and completed work.
Trust renewal
4+
What does annual trust administration involve?
Review the trustee engagement, any registry fees and filings, participants and beneficial owners, accounts, tax and distributions. Voluntary registration does not remove ongoing administration, and not every trust has the same anniversary-based government renewal duty.
What documents are needed for annual trust review?
Provide asset, investment and distribution records, participant and address changes, and updated identity and tax information. Instrument amendments or events such as a settlor’s death may require supporting evidence, consents and filings.
What are annual trust administration costs?
Separate trustee fees, external investment or custody charges, accounting and tax, and any registry-related costs. Before engagement, check minimum annual charges, asset-based fees and additional charges for distributions or amendments.
What happens if trust fees or filings are late?
Distinguish government fees and filings from contractual trustee payments. Check the arrangement’s registration type, applicable rules and engagement for charges and service consequences.
Trust termination
2+
How is a trust terminated?
Follow the instrument’s termination conditions and powers, beneficiary rights and applicable law. A trustee’s preference alone may be insufficient; address liabilities, taxes, final distributions, asset transfers and any registry notifications.
Does trust termination involve costs?
Final accounts, tax review, legal work, asset realisation or transfer and trustee closure work may incur costs. The absence of a company-style liquidation does not mean termination is free; confirm costs against the assets and engagement.
Trust roles
4+
Who is the settlor?
The settlor establishes the trust terms and contributes property. For an individual or corporate settlor, check ownership, authority to transfer and source of funds, and expressly document any retained powers.
Who is the trustee?
The trustee holds legal title and administers property under the instrument and law. A Labuan trust company must be among the trustees of a Labuan trust; define responsibilities for investments, distributions and records.
What is the difference between an enforcer and a protector?
An enforcer ensuring a purpose trust is carried out differs from a protector holding specified powers such as consent rights. Define powers, duties, independence and succession under the instrument and law; neither role implies unlimited authority over the trustee.
Who can be a trust beneficiary?
Individuals, minors, companies or charities may be considered as beneficiaries under the instrument. Define identification and distribution conditions, recognising that fixed entitlements and discretionary beneficiary status confer different rights.
Trust practicalities
10+
What is a trust deed?
The deed defines purposes, assets, trustee powers and duties, beneficiaries, distributions, amendments and termination. Changes may be restricted, so establish amendment powers, consent requirements and administration after the settlor’s death at the drafting stage.
What is a letter of wishes?
It communicates the settlor’s preferences, often about distributions, and is generally distinct from the binding trust instrument. It is not invariably mandatory; review it periodically and do not use it to override the deed or the trustee’s discretion.
What is a discretionary trust?
The trustee decides matters such as recipients, timing and amounts within the instrument’s limits. The trustee must exercise discretion consistently with its duties; a settlor’s letter of wishes does not override the instrument.
What is a fixed trust?
A fixed trust defines beneficiary entitlements or distributions in its instrument. It offers predictability, while changes depend on amendment provisions and law; the label alone does not determine tax or creditor-protection outcomes.
Can residents and non-residents participate in a trust?
Resident and non-resident settlors and beneficiaries may be considered, while trustees have specific requirements including a Labuan trust company. Review asset location, capacity and each participant’s home-country tax and reporting duties.
What checks apply to settlors, enforcers and beneficiaries?
Checks cover identity, capacity, role, asset ownership, source of funds and sanctions. Do not apply a generic company-director test to beneficiaries and enforcers; assess role-specific eligibility and the trust’s purposes.
What happens when a settlor dies?
Administration continues or ends under the instrument; death does not necessarily terminate the trust. Review death evidence, expiry or succession of reserved powers, replacement roles and required records and filings.
Can an MM2H holder establish a trust?
MM2H status alone does not determine suitability; ordinary due diligence and transfer conditions apply. Compare a trust with a will by lifetime administration, asset location, distribution timing, taxes and cost rather than automatically favouring either.
Can Malaysian assets be placed in a Labuan trust?
For property situated in Malaysia, check the trust-law conditions concerning prior FSA approval and the charitable-purpose exception. Foreign assets also require review of local ownership and transfer rules, contracts, tax and trustee acceptance.
Can a trust trigger foreign CFC or other tax rules?
Retained powers, beneficial interests, actual control and distributions may trigger home-country tax or reporting. Before settlement, assess attribution, gifts, succession, income and foreign-asset reporting as well as CFC rules, using the deed and asset schedule.

How do onshore and Labuan banks differ?
Licensing, supervision, currencies, payment features and customer policies differ. The distinction is broader than resident versus non-resident customers. Compare currencies, cards, payment routes and deposit protection for each product.
Are Malaysian and Labuan bank deposits insured?
PIDM covers eligible deposits at member banks; deposits payable at Labuan banks are excluded. Eligible deposits have a per-depositor, per-member-bank limit, with foreign currencies aggregated. Confirm the institution and product before depositing.
Which law governs foreign currency deposits?
Foreign currency does not create extraterritorial protection. Check the contracting bank and branch, governing law and dispute provisions in the account terms. Cross-border payments can also involve intermediary banks and other countries’ regulatory checks.
What initial deposit is needed?
Initial funding, ongoing balances and fees depend on the bank, currency and account. Obtain the current tariff and funding deadline before opening, allowing for possible transfer deductions.
What does minimum balance mean?
A minimum balance is a required amount held in the account, rather than a fee itself. Charges or restrictions below that balance depend on the terms. Check whether the test uses daily or average monthly balances.
Can initial funds move from MYR to USD?
A bank may permit transfers between your MYR and USD accounts. Check initial funding instructions, conversion rates and minimum balances for both currencies before transferring; MYR accounts are not universally free of balance requirements.
What address documents do banks accept?
Bank statements or utility bills showing your name and current address are common candidates. Accepted age, electronic statements, translation and certification depend on the bank, so confirm its checklist before ordering documents.
What is a bank reference?
A bank reference confirms aspects of your relationship with an existing bank. Check the recipient, required wording and whether your bank offers it. It serves a different purpose from a statement or balance certificate.
How should I describe the source of income or funds?
Describe the actual origin, such as salary, business revenue, dividends or an asset sale, supported by contracts, payslips or statements. The source of a particular payment and the history of your overall wealth may be requested separately.
What are Forms W-8BEN and W-8BEN-E?
These forms generally document non-US tax status to the payer or financial institution. W-8BEN is for individuals and W-8BEN-E generally for entities. Filing one does not create a blanket exemption: income type, treaty entitlement and status matter.
What is an ultimate beneficial owner?
An ultimate beneficial owner is a natural person who ultimately owns or controls an entity or arrangement. Nominee ownership does not remove disclosure requirements. Account signing authority is separate and must follow corporate resolutions and bank acceptance.
What is a tax identification number?
A TIN identifies a taxpayer to a tax authority. Report the relevant tax residences and their TINs accurately on bank self-certifications. If a number is unavailable or not required, use the explanation allowed for that jurisdiction and form.
Who is a controlling person?
Controlling persons are natural persons exercising ultimate control, which is not always determined by a shareholding percentage alone. Voting rights, other means of control and roles in trusts may matter. Follow the relevant CRS classification and bank form.
Deposits and transfers
15+
What is a BIC or SWIFT code?
A BIC identifies a financial institution or other business party for financial messages and can have eight or eleven characters. Use the code supplied by the receiving bank and check any branch and currency instructions.
What is an ABA routing number?
An ABA routing number is a nine-digit US bank identifier. Wire, ACH and international receipt instructions can differ, so use the bank’s specified field and payment route rather than appending a guessed number to a branch name.
What is an IBAN?
An IBAN represents an account in a participating country using an international format, including country and check digits. It is not used for every country’s accounts. Obtain the exact IBAN and payment instructions from the receiving bank.
What is a correspondent bank?
A correspondent bank helps banks settle cross-border payments. It may be used where the sending and receiving banks cannot settle directly, with intermediary fees or checks. Obtain instructions for the receiving currency.
Must I specify a correspondent bank?
Follow the receiving bank’s correspondent instructions and confirm how to enter them with the sending bank. Some routes need no explicit intermediary. Naming one does not guarantee routing, fees or receipt.
What are TTS and TTB?
TTS is a bank’s selling rate for foreign currency; TTB is its buying rate. Their spread and any separate transfer charges affect your cost. Compare the actual quoted conversion and net receipt, rather than a reference midpoint alone.
What is a lifting charge?
A lifting charge is a handling fee that a bank may apply, including to same-currency transfers without conversion. Names and scope differ by bank. Check intermediary and receiving fees as well as the sending charge.
What is a cheque?
A cheque instructs a bank to pay an amount from an account. Check supported currencies, clearing time and insufficient-funds rules. Secure unused cheques and report losses immediately.
What is a bank draft?
A bank draft is a payment instrument issued by a bank after its funding requirements are met. Confirm the payee, currency and place of payment before issuance. Check recipient acceptance and procedures for loss, fraud or collection delays.
What costs apply to international transfers?
Costs can include sending fees, currency conversion spreads, intermediary deductions and receiving fees. Check tariffs and the fee allocation option, comparing the final receipt as well as the amount sent.
How do OUR, SHA and BEN fee options differ?
OUR generally allocates fees to the sender, SHA shares them and BEN allocates them to the beneficiary. Availability and deductions depend on the banks, currency and route. If an invoice must arrive in full, confirm whether the bank actually guarantees the net amount.
Why did my receiving bank deduct a fee?
The receiving bank may charge an inward remittance or similar fee. Match the credit advice against its tariff. For unexplained deductions, request a breakdown using the transaction reference and transfer receipt.
Why is the receipt smaller when my bank charges no receiving fee?
Intermediary deductions, conversion or the chosen fee allocation may reduce the receipt. A fee-free receiving account does not establish that the entire route is free. Ask the sending bank to trace the route and charges.
What payment purpose should I enter?
Use a purpose matching the actual transaction and its invoice, agreement and accounting records. Distinguish capital, loans, transfers between your accounts and service payments. Ask the bank before sending if no listed category fits.
What should I do if an international transfer has not arrived?
Contact the sending bank promptly with the reference, receipt and beneficiary details. Share any bank tracking reference with the receiving bank. Amendments or recalls do not guarantee recovery, so avoid sending a duplicate before the cause is understood.
Bank account management
11+
How do I activate a banking security token?
Activate it using the bank’s official app or website instructions for that device. Procedures differ, so do not copy another bank’s steps. Never share passwords, PINs or one-time codes, including with Bona Trust.
What if a token or card has not arrived?
Check the delivery address and tracking with the bank. If loss is possible, contact its official support to arrange blocking or replacement. A change in corporate registration does not automatically update the bank’s address.
Why can I no longer log into online banking?
Possible causes include inactivity, pending KYC updates or changes to authentication. Ask the bank’s official support to identify the cause and recovery process. Logging in alone may not prevent an account becoming dormant.
What if I forget my online banking password?
Use the bank’s official password reset or support process. Avoid repeated guesses that could lock access. Do not follow unfamiliar email links or allow unsolicited remote access.
What if a token battery runs out?
Ask the bank about replacement or migration to app authentication rather than opening the device. Check delivery, fees and interim access, arranging the change before payment deadlines.
How can I obtain a replacement bank statement?
Check online statement availability and request the required period, currency and account. If a certified original is needed, ask the bank about its process and charge. Same-day branch issuance is not assured.
What if I find an unauthorised debit?
Immediately report it to the bank’s fraud channel and arrange any necessary blocking. Preserve statements, dates and communications and meet its dispute deadlines. Reimbursement depends on the investigation and applicable terms.
What if I forget my card PIN?
Use the bank’s official app or support to confirm PIN reset or card replacement. Avoid repeated guesses. Verify the registered address if anything must be posted.
What should I do before my card expires?
Confirm whether renewal is automatic, the delivery address and overseas delivery options. The new card may need activation and recurring payments may need updating. Arrange an alternative payment method before expiry.
How should I respond to a bank annual review?
Verify that the request is genuine and update business, director, ownership, address and tax information. Follow its evidence, signature and submission requirements. Do not ignore the review even if nothing has changed.
How should I complete FATCA and CRS forms?
These forms declare tax residence, TINs, entity classification and, where required, controlling persons. Citizenship or a visa alone does not settle tax residence. Confirm uncertain classifications with a tax adviser and notify the bank of changes.
Work permit applications
5+
What are the requirements for a Labuan work permit?
Assessment covers the actual role, business, premises, remuneration, experience and tax compliance. Labuan FSA’s June 2026 circular confirms the Labuan RM10,000 monthly threshold remains relevant; salary alone does not secure approval. Check the duration on the individual approval.
What documents are needed for a work permit?
Prepare passport and photographs, experience and qualifications, an employment contract, company and business-plan details, premises and tax records. Requirements vary with nationality, role and application type. Confirm certification and original-copy requirements against the current official checklist.
How much does a work permit application cost?
Request a breakdown of official application and issuance fees, support, certification, translation and any travel. State the applicants and case type, and confirm exclusions and treatment of unsuccessful applications in writing.
How long does obtaining a work permit take?
Plan separately for document preparation, due diligence, official assessment and issuance. Queries and workload can change timing, so a fixed 30-business-day completion cannot be guaranteed. Confirm approval and issuance arrangements before making inflexible travel bookings.
What are the stages of a work permit application?
The usual stages are eligibility and document review, agreed scope and quotation, signed submission, official assessment and issuance following approval. Further queries may need answering. Distinguish a recommendation or approval from an issued permission allowing work.
Work permit renewals
7+
When should I renew a work permit?
Start well before the expiry shown on the pass. Check current Labuan FSA and submission requirements, allowing time for payroll, tax and business evidence. A pending application does not automatically extend lawful stay.
How does work permit renewal proceed?
Review changes to the company, role, remuneration and tax compliance and submit evidence of continuing business. Respond to queries and complete issuance after approval. Check attendance requirements and coordinate family renewals.
What evidence is needed for work permit renewal?
Typical evidence concerns the passport and current pass, employment, payroll and personal tax records, premises and ongoing business. Reconcile statements, contracts and invoices. Confirm the required periods and certifications using the current checklist.
What does renewing a work permit cost?
Costs depend on official fees, support and any additional documents, certification or travel. Request separate principal and dependant pricing and check whether company annual administration or tax work is included.
What happens if I do not renew my work permit?
You cannot continue working under an expired permit. Before expiry, plan renewal, cancellation and departure, or an approved change of status. Coordinate dependants’ passes and any tax clearance.
Can I renew if the company did not conduct business?
A renewal needs an explanation of the business and actual role. Document the reasons for delay, real expenditure, preparatory work and future plans. Renewal for an inactive company is not assured.
Does renewing a work permit lead to permanent residence?
Work permit renewal does not automatically convert into permanent residence. Permanent residence has separate requirements and assessment. Maintain your existing status while checking any applicable route with Immigration.
Work permit cancellation
4+
How do I cancel a work permit?
Agree the employment end date and departure or status-change plan, then confirm cancellation through the employer. Coordinate principal and family passes, payroll and tax clearance. Do not close a tax file without checking remaining obligations.
Must a departing director cancel their work permit?
If that role supports the permit, resignation requires a review of cancellation or amendment. Another role does not automatically preserve the existing permission. Prepare the resignation, last working date and proposed basis for continued stay.
What does work permit cancellation cost?
Request separate pricing for cancellation support, any tax clearance and family arrangements. Treatment of fees already paid depends on the contract and official rules, so clarify it before starting.
Must I leave immediately after cancelling my work permit?
The permitted departure date depends on cancellation instructions, current status and any approved transition. Confirm the final lawful date and required pass before cancellation. Buying a flight does not itself authorise continued stay.
Work permit practicalities
22+
What if my passport will expire soon?
Check required passport validity and blank pages and renew first if necessary. Review the current pass expiry at the same time so that status does not lapse during passport renewal.
What happens to my pass after passport renewal?
Prepare old and new passports and current pass details and confirm Immigration’s transfer or record-update process. Electronic permission may still need updating. Check which documents to carry before travel.
What if I lose my passport?
Report the loss to police and your embassy or consulate and arrange replacement travel documents. Then ask Immigration to verify and update or replace pass records. Confirm departure requirements before travelling.
Can I obtain a Malaysian TIN with a work permit?
Register for tax where required, for example for taxable income. This is separate from permit issuance, and you should check for an existing TIN first. Use the current foreign-taxpayer registration route, such as e-Daftar.
Do I need to employ local staff?
Check permit conditions separately from tax substance and sector licensing requirements. A blanket statement that no local employment is needed is unsafe. Plan staffing around the activity, required qualifications and real duties.
Is an operating office required?
A registered address and a real management or operating office are different. Check premises, lease and actual use against permit, licensing and substance rules. An address-only arrangement should not be assumed sufficient.
Can I live in Peninsular Malaysia with a Labuan work permit?
Check your intended residence, work location and pass conditions separately. Living in Peninsular Malaysia does not establish permission to work for any employer or at any location. Confirm territory, employer and office conditions before relocating.
Can I live or work in Sabah or Sarawak?
Sabah and Sarawak have separate immigration controls, so a Labuan permit should not be assumed to authorise residence or work there. Check visits, long-term residence and employment separately with the state immigration authorities.
Can I switch from another Malaysian employment pass?
Review eligibility for the new employer and role and coordinate cancellation and application sequencing. Cancelling existing status too early can create a gap in lawful stay or work. Confirm the transition timetable with Immigration.
Can an MM2H holder apply for a Labuan work permit?
Review the particular MM2H programme, existing conditions and proposed role before considering a switch. Cancellation and deposit arrangements need separate confirmation. Do not start work before the necessary permission is issued.
Can I apply without planning to relocate?
First assess the actual role, work location and business need. Overseas residence alone does not establish eligibility or ineligibility. Review payroll taxation in relevant countries and the activity evidence available for renewal.
How does a work permit differ from MM2H?
A work permit is based on particular employment or duties; MM2H is a long-stay programme with category-specific conditions. Compare current duration, financial requirements and work permissions. Choose based on family, employment and residence needs.
Must I travel to Labuan after approval?
Attendance or passport submission depends on the pass and current official process. Check the approval letter and issuance instructions for location, appointments and documents. Do not assume that a fixed one-night visit will always suffice.
What if I cannot complete issuance by the approval deadline?
Check the issuance deadline in the approval and contact the authority before it expires if you cannot comply. Confirm any extension or reapplication and your existing stay deadline separately. An approval without completed issuance may not authorise work.
Can you help arrange housing or business premises?
We can coordinate discussions with property providers around location, family, schools, commute, budget and timing. Availability, lease terms, fees and compliance with office requirements need individual review. A completed purchase or lease is not guaranteed.
Does a Labuan work permit include an expatriate card?
Cards and electronic evidence depend on the pass and issuance system. Ask the issuing office what identification is available rather than assuming a card is included. Also check evidence required by banks or other providers.
Does a work permit guarantee repeated entry?
Check passport, pass and re-entry requirements before travel. Cancellation, employment changes and border assessment can affect entry even within the stated validity, so unlimited admission is not guaranteed. Check Sabah and Sarawak separately.
Can I use airport automated or expatriate lanes?
Eligible passports, passes, airports and registration requirements can change. Check Immigration’s current travel guidance; a work permit does not guarantee access to every special lane. Confirm registration, opening hours and any fees before travel.
Can I import my car into Malaysia?
Check vehicle eligibility, import approval, taxes, inspection and registration before shipment. An already-owned vehicle is not automatically exempt. Obtain written requirements and a full cost estimate from Customs, the relevant authority and importer.
Can I register a vessel in Labuan?
Assess the appropriate registry based on vessel type, ownership, use and class. Prepare purchase documents, registry history and operating plans for the maritime authority and specialist provider. Incorporation alone does not complete vessel registration.
Can you help with private aircraft or hangar arrangements?
We can coordinate specialist discussions around aircraft type, operations, storage and purchase or lease. Hangar availability, registration, operation, insurance, maintenance and import requirements need separate checks. Availability and transaction completion are not assured.
What happens to a director’s permit on death?
Obtain the death certificate and notify the company and Immigration to confirm pass formalities. Coordinate family status, payroll, tax and director changes. Check document certification and travel requirements for relatives.
Dependent pass applications
4+
Which family members can apply as dependants?
Relationship, age and the principal’s pass determine the appropriate family route. Parents or common-law partners may require a different long-term visit pass. Prepare relationship evidence and each person’s passport details rather than assuming all relatives qualify for the same pass.
What documents are needed for a dependant application?
Prepare family passports and photographs, principal pass details and marriage or birth evidence. Adoption or custody circumstances may need additional evidence. Follow current translation, certification and passport-validity requirements.
What does a dependant application cost?
Request official fees, support, certification and translation costs by family member and pass category. State whether applying with the principal and clarify additional work and unsuccessful-application terms.
How does a dependant application proceed?
Confirm the principal’s status and relationship, prepare documents and complete submission, assessment and issuance. Coordinate family travel with the actual issuance process. An accepted application is not itself a residence permission.
Dependent pass renewals
4+
How are dependant passes renewed?
Check the principal pass and each family member’s passport and pass expiry and update any relationship changes. Coordinate the sequence with the principal renewal. Maintain lawful stay for every applicant while applications are pending.
What documents are needed for dependant renewal?
Prepare current passes and passports, principal renewal details, photographs and relationship evidence as requested. Name, passport or custody changes may need extra documents. Do not assume the previous checklist is unchanged.
What does dependant renewal cost?
Check official and support fees for each person, pass category and duration. Confirm whether passport changes, certification, translation or cancellation work is priced separately.
What happens if a dependant pass is not renewed?
An expired dependant pass does not authorise continued stay. Arrange renewal, departure or an approved status change before expiry. A valid principal pass does not automatically renew a family member’s pass.
Dependent pass cancellation
3+
How do I cancel a dependant pass?
Prepare the passport, pass and departure or status-change plan and coordinate formalities with the principal, employer and authority. Review school and bank notifications. Confirm the final permitted stay following cancellation.
What does dependant cancellation cost?
Request a quote based on each cancellation, required documents and support scope. State whether this accompanies the principal cancellation and confirm official and professional charges separately.
Must dependants leave immediately after cancellation?
Follow Immigration’s instructions for departure or status changes after cancellation. A flight date alone does not determine lawful stay. Confirm every family member’s deadline and any transition process before cancellation.
Dependent pass practicalities
10+
Can a dependant obtain a Malaysian TIN?
TIN registration is not determined solely by dependant status. Where taxable income or other circumstances require registration, check for an existing number and use the foreign-taxpayer process. Registration does not itself authorise employment.
Can a dependant pass holder work?
Do not assume a dependant pass alone permits work. Ask Immigration, through the prospective employer, which work permission or approved procedure applies to the role and pass category. Obtain the necessary permission before starting employment.
Can a dependant open a bank account?
This depends on bank product rules and due diligence rather than a universal prohibition. A bank may request relationship evidence in addition to passport, immigration status, address and source of funds. Confirm eligibility directly with the selected bank.
How do I arrange status for a newborn in Malaysia?
Arrange birth registration and nationality or passport formalities promptly and ask Immigration about the newborn’s status. Prepare the birth certificate and parents’ passports and passes. Birth in Malaysia does not automatically grant citizenship or a dependant pass.
Must family members travel to Labuan for issuance or renewal?
Confirm attendance and passport-submission requirements from current official issuance instructions. Check requirements for every person, including infants, along with appointments and processing arrangements before booking.
What if a child needs school documentation before their pass is issued?
Ask the school which admission and immigration documents it needs and whether an application receipt or status letter is acceptable. Check any student-pass route with the school and Immigration. A status letter cannot replace lawful immigration permission.
What happens to a spouse’s pass after divorce?
Promptly check the effect on marriage-based permission with Immigration and prepare divorce evidence. Coordinate cancellation and departure or an approved status change. Review children’s custody and pass arrangements separately.
What happens when the principal work permit is cancelled?
Family permission is linked to the principal, so check cancellation or transition at the same time. A later printed expiry does not establish a right to remain. Plan departure or new status for each family member in advance.
What happens to family passes if the principal dies?
Notify Immigration promptly and confirm the family’s status and any permitted transition. Prepare the death certificate and relationship documents. Obtain official instructions rather than assuming everyone must depart immediately.
What if a dependant pass holder dies?
Prepare the death certificate and confirm notification and pass cancellation with Immigration. Coordinate consular, school and insurance matters. Check translations, certification and any effect on remaining family members.
Bookkeeping
13+
What is bookkeeping?
Bookkeeping classifies and records transactions from supporting evidence and reconciles accounts such as bank balances. Monthly processing helps identify unpaid invoices and missing records early. It is separate from tax filing and audit, so agree responsibilities in the engagement.
What are financial statements?
Financial statements report profit, financial position and, where applicable, cash flows and notes. Distinguish internal management accounts from annual statements prepared under a reporting framework and audited statements. Invoices, receipts, contracts and bank records provide the underlying evidence.
Which financial reporting standards apply?
Determine the framework from the entity’s category, regulation and group-reporting requirements. Do not select Malaysia’s MFRS or MPERS solely from labels such as listed or small business. Agree applicability and transition requirements with the accountant and auditor.
What can accounting support cover?
Scope can include journals, bank reconciliation, trial balances, ledgers and management reports. Agree separately whether payroll, tax, audit assistance, consolidation or prior-period corrections are included. Provide transaction volumes and reporting needs for a quotation.
What accounting documents must I provide?
Provide sales and purchase invoices, receipts, all account statements, contracts and payroll, loan and capital records. Identify accruals, receivables, fixed assets and inventory. Separate personal spending and explain the business purpose of transactions.
How should I send accounting documents?
Use the secure channel agreed for the engagement, labelled by period and transaction. Retain readable scans and required originals and record replacements. Do not attach bank statements or passports to an initial enquiry form.
Which accounting software will be used?
Confirm the current system in the engagement. Check currencies, transaction volumes, migration, access, evidence attachments and export formats at termination. Also confirm any integration with your other systems.
How long does preparing accounts take?
Timing depends on volume, completeness and complexity such as currencies or related-party transactions. Agree monthly, quarterly or annual delivery and document cut-offs. Track time awaiting missing information separately from preparation time.
What does bookkeeping cost?
Pricing depends on transaction volume, accounts, currencies, employees, reporting frequency and cleanup work. Payments still require recording even without sales. A pricing category called dormant does not establish tax dormancy.
How do I engage bookkeeping support?
Provide company and activity details, periods, volumes and the condition of existing records. Confirm the document list and responsibilities, then agree scope, timing and fees before securely sharing records.
What are management accounts?
Management accounts are internal reports such as profit and loss and balance sheets. A recipient may also need ledgers or trial balances, but the required package varies. Confirm the reporting basis and whether the accounts have been audited.
Which expenses can a company claim?
Assess business purpose, applicable tax law, capital treatment, related-party pricing and evidence. Accounting expenses and tax deductions may differ. An auditor does not alone determine the final tax treatment.
Can I delete an issued invoice?
Preserve an audit trail rather than deleting or altering an issued invoice to conceal it. Use an appropriate credit note or correction linked to the original for cancellations, returns or adjustments. Follow e-invoicing correction rules where applicable.
Audit
7+
Is an audit always required?
Review the activity, tax regime and current filing system. Investment holding or a non-chargeable treatment does not establish a blanket audit exemption. Check audited-account requirements under the self-assessment system introduced from 2025 with the auditor and tax adviser.
How do I select an auditor?
Verify current regulatory approval for the firm to undertake the relevant Labuan audit. Compare expertise, independence, availability, fees and evidence needs. Check the contracted audit firm as well as the individual contact.
Can you coordinate an auditor introduction?
We can coordinate discussions around sector experience, reporting period and timing. Appointment depends on the auditor’s independence and acceptance checks and the company’s appointment process. An introduction does not guarantee an audit opinion.
How does an audit proceed?
Prepare accounts and closing adjustments, then the auditor examines evidence, balances and transactions. Bank confirmations, queries and adjustments may be required. Management prepares the statements; the auditor expresses an independent opinion.
What evidence is needed for an audit?
Prepare ledgers, trial balances, bank records and confirmations, contracts, invoices, receipts and asset or inventory schedules. Review related parties, contingencies and important subsequent events. Obtain an evidence list tailored to the sector and audit plan.
Do subsidiaries require consolidated accounts?
Assess control, the reporting framework and any exemption before deciding on consolidation. Not every group has identical requirements. Map ownership, voting rights, contractual control and reporting dates.
Can a filing deadline be extended?
Check tax deadlines separately from corporate and regulatory filings. LHDN’s 2026 programme gives Labuan entities seven months from the accounting-period close. Verify any grace period or extension against the applicable programme and authority.
Company tax
16+
How is a Labuan company taxed?
Incorporation alone does not secure a uniform low rate. Review activity, income type, substance, elections and assessment year to determine the applicable LBATA or income-tax treatment. Distinguish revenue from taxable profit and company tax from owner taxation.
How do trading and non-trading activities differ?
Use statutory definitions and actual activity rather than only buying and selling versus holding. Review asset purpose, services, lending and transaction patterns. Mixed activities and income such as intellectual-property income need specific analysis.
Are transactions between two foreign countries taxable?
Transactions between two other countries are not automatically exempt. Review the company’s actual role, income and tax regime. Also consider foreign withholding, permanent establishments and transfer pricing.
How are transactions with Malaysian residents taxed?
A Malaysian counterparty alone does not determine one rate for every transaction. Review activity, income, applicable law, withholding and the payer’s deduction separately. Model both parties’ tax costs before contracting.
How is intellectual property income treated?
Analyse intellectual-property income separately from ordinary Labuan business income. Identify the rights, contracts, place of use and receipts and review income-tax and withholding treatment. Do not simply apply a company’s assumed preferential rate.
Do professional service providers receive tax exemptions?
Professional-service exemptions depend on the provider, location, services, approval and assessment year. Establish the current legal basis before assuming an exemption. Review the provider’s income and client’s deduction separately.
Can Malaysian payers deduct payments to Labuan entities?
Deduction restrictions and exceptions depend on payment type, the receiving entity, assessment year and regulations. Separate interest, leasing and other payments and give the adviser the contract and evidence. Calculate the allowable amount for the particular payment.
What counts as Labuan business activity?
Assess statutory activity definitions and what is actually carried on in, from or through Labuan. Licensing and tax tests are distinct. Map assets, transactions, people, decision-making and expenditure for the assessment.
Are the 2019 tax FAQs still sufficient?
Use the 2019 FAQs for historical context and check subsequent legislation and guidance. Later developments include substance clarification and self-assessment or electronic filing. Match current LHDN materials to the relevant assessment year.
What are substance requirements?
Substance rules examine matters such as appropriate full-time staff, Labuan expenditure and actual management for the activity. Review qualifications, duties, real work and supporting evidence as well as numbers. Plan separately for tax, licensing and permit compliance.
What if substance requirements are not met?
Failure can remove preferential treatment and create additional tax exposure. LHDN’s 2025 staffing guidance explains a 24% charge under LBATA for non-compliance with those substance requirements. If a shortfall is identified, promptly review the affected period and remediation.
Which costs count as annual Labuan operating expenditure?
Classify actual company expenditure against the activity-specific rules and official interpretation. Payroll, rent and professional fees need review for location, period and substance. Retain invoices, contracts and payment evidence; not every cost necessarily qualifies.
Can a Labuan entity use Malaysia’s tax treaties?
Review the particular treaty and protocol, Labuan exclusions, residence, beneficial ownership and anti-abuse provisions. Check the treaty text in force for the relevant year. Confirm residence certification and procedures in the paying country.
Can Bona Trust handle tax-agent coordination?
Confirm the support scope and the approved tax agent who will perform the filing. Engaging Bona Trust does not alone establish statutory authority to act as a tax agent. Agree authorisation, submission rights and company approval responsibilities.
Are there penalties for late tax payment?
Late payment can trigger increases under the applicable law and year. Verify the calculation against LHDN notices, the filing programme and legislation. Promptly establish the outstanding balance, payment method and response deadline.
How are tax evasion and errors treated?
Errors, non-filing, late payment and deliberate evasion are different issues and may involve penalties or prosecution as well as tax increases. Preserve records and seek advice on correction or disclosure. Check the legal basis and response deadline in any official notice.
Personal income tax
6+
How is a director’s personal income taxed?
Assess salary, director fees and dividends by income type, source, tax residence and year. Foreign income is not automatically exempt; receipts and exemption conditions matter. Review individual and home-country taxation separately from company incentives.
How do I file personal income tax?
Check your TIN and MyTax access and gather income, payroll, travel and deduction records. Select the correct return and current-year deadline, then complete filing and payment. Keep acknowledgements and calculations.
Can payroll deductions and social contributions be coordinated?
Agree responsibility for employer and employee registrations, payroll, monthly tax deductions and applicable statutory contributions. Procedures may depend on nationality, age and employment conditions. Outsourcing does not remove the company’s review and funding responsibilities.
How is personal tax residence determined?
The statutory tests are not limited to the 182-day test; specified linked periods across years can also matter. A visa, nationality or address alone does not decide residence. Record travel and temporary absences and consider treaty rules where two countries claim residence.
Are director fees exempt, and how often may they be paid?
Foreign director status does not establish a blanket exemption. Review real duties, the distinction from salary, any current exemption and taxation where the recipient resides. Payment frequency does not change the substance, so twice yearly is not a tax safe harbour.
Are dividends exempt, and how often may they be paid?
Check lawful distributable amounts, solvency, resolutions and shareholder rights. Tax treatment requires review of the company regime and recipient’s status and country of residence; worldwide exemption cannot be assumed. Frequency alone does not determine tax compliance.
KYC and due diligence
11+
What is KYC?
KYC identifies customers and beneficial owners and establishes business purpose and financial background. It extends beyond criminal-record checks and includes ongoing updates. Evidence varies with risk and the service.
What if screening confuses me with someone with the same name?
Explain the mismatch using name variants, date of birth, nationality, address and background evidence. Confirm additional documents with compliance before ordering them. A police certificate alone does not guarantee acceptance or regulatory approval.
What is a certified true copy?
A certified true copy confirms that a copy matches an original presented to an accepted certifier. It does not guarantee the underlying facts or approval of an application. Check the recipient’s accepted certifiers, wording and language first.
How should I certify a passport copy?
Confirm required pages, certifier, wording, date, translation and any additional legalisation with the recipient. Notarisation, consular legalisation and an apostille are distinct processes. Use the route appropriate to the destination and purpose.
What if I have two citizenships and passports?
Disclose all citizenships, names and passports so KYC and immigration records are consistent. Confirm which passport to use for the permit and entry or departure with Immigration. Citizenship is not necessarily the same as country of birth.
What is a professional reference letter?
It is a reference from a bank or accepted professional describing their relationship with the person or background. Confirm the number, accepted issuers, relationship duration and wording for the specific process. It does not replace identity or funds checks.
What should a reference letter contain?
Typical items include the issuer’s letterhead, name, qualifications, contact details, relationship, date and signature. Confirm the recipient’s template first and ask the issuer to state only what they can substantiate.
Can two applicants use the same referee?
This may be acceptable if the referee can substantiate a relationship with each person and the recipient agrees. Check whether separate letters are needed. Number and independence requirements vary by process.
What is proof of address?
It evidences where a person actually lives. A mailing address, registered office and tax residence are not necessarily the same. Explain multiple residences and provide evidence for the addresses requested.
Which documents can prove my address?
Candidates include bank statements and utility bills showing name, address and issue date. Acceptance of electronic statements, joint names, leases and document age depends on the recipient. Check before arranging translation or certification.
Must I post originals rather than scans?
Electronic submission, originals and certified copies depend on the document and process. Arrange a preliminary review and post only required originals using tracked delivery. Do not send original passports or sensitive records without instructions.

What are your office hours?
Please provide your preferred time and time zone when contacting us. Confirm appointment availability and holiday arrangements when booking. Check the local time in the confirmation, particularly when contacting us from Japan.
Where can I verify your regulatory listing?
Use Labuan FSA’s Financial Institutions Directory and locate Bona Trust Corporation under Labuan Trust Companies. Compare the legal name, category and contact details. The check on 21 October 2026 showed a Full-Fledge Trust listing.
Which languages can you support?
State whether you prefer English, Japanese or Chinese when enquiring. Confirm staffing, contract and official-document languages and any translation scope. Website language availability is separate from official submission requirements.
Can I arrange a telephone consultation?
Include the topic and preferred times in your enquiry so a call or online meeting can be arranged. Do not send sensitive documents without instructions, and confirm important agreements in writing afterward.
Can you travel for an engagement?
Provide the purpose, location, duration and participants so availability can be assessed. Agree professional time, travel, accommodation and expenses in a written scope and quotation before arrangements are made.
Can I pay after the work is completed?
Payment timing and commencement conditions are set in the quotation and agreement. Official fees may need advance funding. Confirm in writing whether a payment receipt is sufficient to begin and how delayed receipt will be handled.
Can I pay in cash instead of by bank transfer?
Use the official beneficiary and payment method stated on the invoice. Cash or third-party payments require prior confirmation and may need source-of-funds checks. Do not bring cash or send an alternative payment simply because a deadline is close.
How can I apply to work at Bona Trust?
Ask about current openings and the application channel. Prepare experience, qualifications, languages and the role sought and check any work-authorisation requirements. Check the requirements for the particular opening.
Can I propose a business partnership?
Outline services, clients, markets, qualifications and proposed responsibilities. Review conflicts, referral fees, customer data and any training, then document scope and responsibilities. Partnership or referral approval is assessed individually.
Who would take over if Bona Trust could no longer operate?
Continuing secretarial administration may require a successor appointment and record transfer under applicable law and regulatory instructions. Review termination and handover provisions, records the company should retain and emergency contacts. An automatic appointment of a particular successor is not guaranteed.
What happens to money paid if the provider becomes insolvent?
Service fees, official disbursements and money held for clients can have different legal treatment. Before paying, check the account holder, segregation, contract and insolvency rights. Unconditional protection or repayment of all money cannot be promised.
What services can an engagement include?
An engagement can combine entity, trust or foundation formation and administration, banking and work-permit application support and accounting coordination. Confirm regulated activities, external advisers, the contracting provider and scope. Bank, visa and licence approvals remain separate decisions.

How do I apply for a service?
Start with your objectives and preferred timing. The team will outline suitability, scope, quotation, due diligence and secure document submission. Passports and asset statements are not required in the initial enquiry form.
Who can sign a witness field?
Witness age, independence and qualifications depend on the document and recipient. Check whether relatives, parties or interested persons are excluded before signing. A witness must actually perform the required witnessing and identity checks rather than signing retrospectively.
What is a Customer Service Agreement?
A CSA sets out services, responsibilities, fees, payment, termination and handover. Review how quotations and schedules form part of it before signing. Check additional work, renewal and refund or cancellation provisions in the actual agreement.
What is a non-disclosure agreement?
An NDA sets rules for using, sharing and protecting confidential information. Review exclusions, duration and return or deletion requirements. It cannot override mandatory regulatory reporting or due diligence.

Where can I check your privacy policy?
Review the website privacy notice and the data information supplied for your engagement. Check purposes, necessary recipients, retention and the contact for rights requests. Mandatory reporting and service providers mean an absolute promise of no third-party disclosure would be inappropriate.
Where can I check anti-money laundering requirements?
Consult engagement guidance for Bona Trust’s due diligence and Labuan FSA materials for regulatory requirements. Checks cover identity, beneficial ownership, funds, sanctions and PEP exposure with ongoing updates. Risk screening uses current official information.
